1. Agreement to Terms
By accessing or using Weyd ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
Weyd is a learning strategy platform that helps users plan and track their learning goals for language, music, and other skills. We provide AI-powered recommendations, progress tracking, and strategic guidance.
Weyd supports both individual learners and institutional/classroom use. Educators can create organizations, manage student cohorts, and track student learning outcomes. Institutional features include single sign-on (SSO), custom branding, data export capabilities, and cohort analytics.
Weyd does not provide tutoring, courses, or direct instruction. We recommend third-party tools and resources but are not responsible for their content or quality.
3. Accounts
When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of these Terms.
You are responsible for safeguarding your account credentials and for any activities or actions under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
You may not use as a username the name of another person or entity that is not lawfully available for use, or a name or trademark that is subject to rights of another person or entity without appropriate authorization.
4. Educational Institution Terms
a) Institutional Accounts & Authority
When an educator creates an organization on Weyd, they represent that they have the authority to do so on behalf of their educational institution. The educator (or their institution) is the data controller for student data within their organization, and Weyd acts as a data processor for student data managed under institutional accounts.
b) Student Data Visibility
Teachers and organization administrators can view the following student data: name, email address, learning plans, progress entries (including practice minutes, skills practiced, activity dates, and streak data), skill assessments, CEFR benchmark scores, and AI coaching conversations. Teachers can export student data in CSV format for institutional reporting purposes.
Students are informed at the time of enrollment that their data will be visible to their instructor and organization administrators.
c) FERPA Compliance (U.S. Educational Institutions)
When used by U.S. educational institutions, Weyd agrees to comply with the Family Educational Rights and Privacy Act (FERPA). Student data that constitutes "education records" as defined by FERPA will not be disclosed to third parties except as permitted by FERPA (34 CFR § 99.31) or as directed by the educational institution.
Weyd acts as a "school official" with a "legitimate educational interest" under FERPA's school official exception (34 CFR § 99.31(a)(1)). Weyd will not use education records for any purpose other than providing the agreed-upon educational services. The institution retains control over education records and may request their deletion at any time.
d) COPPA Compliance (Under-13 Users)
Weyd does not knowingly collect personal information from children under 13 without verifiable parental consent or school authorization. When used in a school context, the school may act as the parent's agent and consent on behalf of parents under COPPA's school consent exception (16 CFR § 312.5(c)(3)).
Schools must ensure they have proper authority to consent on behalf of parents. Data collected from under-13 users is limited to what is necessary for the educational purpose. Parents have the right to review their child's data and request deletion; schools should direct such requests through the institution.
e) Student Age Requirements
For individual (non-institutional) accounts, users must be at least 13 years old. For institutional accounts, students under 13 may use the Service only when enrolled by an authorized educational institution that has obtained proper parental consent or relies on the school consent exception under COPPA.
Students aged 13-17 may use the Service when enrolled by an educational institution or with parental awareness.
f) Institutional Responsibilities
The educational institution is responsible for: obtaining necessary parental consents where required, maintaining appropriate use policies, ensuring students understand data visibility practices, and notifying parents of the platform's use in accordance with applicable laws.
Institutions must accept a Data Processing Agreement (DPA) if required by their jurisdiction. See Section 5 below.
5. Data Processing Agreement
For institutional customers, Weyd offers a Data Processing Agreement (DPA) upon request. The DPA covers data processing terms, security measures, breach notification procedures, and sub-processor disclosures.

6. Subscriptions and Payments
Some features of the Service require a paid subscription. By subscribing, you agree to pay the applicable fees as described at the time of purchase.
Subscriptions are billed in advance on a monthly or annual basis depending on the plan you select. Your subscription will automatically renew at the end of each billing period unless you cancel it.
You may cancel your subscription at any time from your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period.
We reserve the right to change our prices at any time. Price changes will be communicated in advance and will apply to subsequent billing periods, not the current one.
7. Refunds
We offer refunds on a case-by-case basis. If you are unsatisfied with the Service within the first 14 days of a new subscription, contact us at support@weyd.io to request a refund.
Refunds are not available for partially used billing periods after the initial 14-day window.
8. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on the rights of others
- Transmit any harmful, threatening, or offensive content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service
- Use the Service for any commercial purpose without our consent
- Create multiple accounts to circumvent usage limits
- Scrape, data mine, or extract data from the Service
We reserve the right to terminate or suspend your account for violations of these terms.
9. Intellectual Property
The Service and its original content (excluding user-generated content), features, and functionality are and will remain the exclusive property of Weyd. The Service is protected by copyright, trademark, and other laws.
You retain ownership of any content you submit, post, or display on or through the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content in connection with providing the Service.
10. AI-Generated Content
The Service uses artificial intelligence to generate recommendations, learning plans, and other content. While we strive for accuracy, AI-generated content may contain errors or inaccuracies.
AI recommendations are for informational purposes only and should not be considered professional advice. You are responsible for evaluating and acting on any recommendations provided by the Service.
We do not guarantee any specific learning outcomes from using the Service.
When used in classroom settings, AI coaching conversations are visible to the student's instructor(s) for educational oversight purposes. Students should be aware that conversations with AI coaches are not private from their instructor.
11. Third-Party Links and Services
The Service may contain links to third-party websites or services that are not owned or controlled by Weyd. We recommend tools and resources from third parties but have no control over their content, privacy policies, or practices.
You acknowledge and agree that Weyd shall not be responsible or liable for any damage or loss caused by the use of any third-party content, goods, or services.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEYD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
In no event shall our total liability exceed the amount you paid us in the twelve (12) months preceding the claim.
14. Indemnification
You agree to defend, indemnify, and hold harmless Weyd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.
15. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so from your account settings or by contacting us.
When an institutional account is terminated, the institution may request export of all student data prior to deletion. Student accounts enrolled through an institution may be transitioned to individual accounts or deleted upon the institution's direction.
Upon institutional termination, Weyd will delete institutional student data within 60 days unless legally required to retain it or unless the institution requests otherwise.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in courts located in Delaware.
17. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised terms.
18. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
